Report Interpretation

Overview

This earnings review examines Kirin Holdings' stronger-than-expected second quarter, increased FY12/26 guidance, and the proposed acquisition of supplement company Jamieson Wellness. Goldman Sachs raises forecasts and its target price but maintains a Sell rating, arguing that recent positive developments are already reflected in the share price.

Core views

Kirin reported 2Q12/26 business profit of ¥78.3bn, up 35% year on year, materially above Goldman Sachs' ¥59.6bn estimate and Visible Alpha consensus of ¥60.2bn. The outperformance was driven by Kirin Brewery, where advertising and sales-promotion spending was shifted toward the second half in response to liquor-tax revisions, and by pharmaceuticals, where shipments increased ahead of price rises while R&D expense was low. Kirin Brewery's 2Q sales grew 11% year on year and business profit rose 39%; the profit comparison also benefited from lower volumes following price increases in the prior-year period and marketing-spend timing differences. Kirin raised FY12/26 business-profit guidance to ¥253bn, or 0.5% year-on-year growth, from ¥235bn. Management incorporated lower pharmaceutical R&D following the discontinuation of new-drug development, the sale of Four Roses, and a revised Australian-dollar foreign-exchange assumption. It plans mainly to offset a ¥10bn negative cost impact from the Middle East situation, expected mostly in the second half, through cost reductions. Goldman Sachs considers the guidance and its ¥150/USD and ¥100/AUD assumptions somewhat conservative and forecasts FY12/26 business profit of ¥273.2bn, up 8.5% year on year and above company guidance. Reflecting the results and its revised yen-dollar assumption of ¥160/USD versus ¥155/USD previously, Goldman Sachs raises FY12/26-FY12/28 business-profit estimates by 5.6%, 6.8%, and 7.2%, respectively. Its new forecasts are ¥273.2bn for FY12/26, ¥266.8bn for FY12/27, and ¥281.6bn for FY12/28. Despite these increases, the institution maintains Sell: it believes the FY12/25 return to health-science profitability, business disposals, and share buybacks have already been received positively by the market, while the current ¥3,038 share price remains above its revised ¥2,550 target. The proposed acquisition of Jamieson Wellness is central to Kirin's health-science expansion. Kirin agreed to acquire the North America-focused supplement company for CAD1,898mn, approximately ¥218.3bn, at around 15x EV/EBITDA, funded by cash and interest-bearing debt. Subject to approvals, share purchases are expected to begin in October 2026, and management expects the transaction to be EPS-accretive from FY12/27. Goldman Sachs views the deal as aligned with Kirin's strategy to expand health science in North America, but its forecasts do not include the acquisition; if completed, attention will shift to realized synergies. Jamieson generated FY12/25 sales of CAD882mn, with 43% from Canada, 22% from the US, and 17% from China. It has slightly more than 20% of Canada's supplement market according to Euromonitor, while Goldman Sachs believes its US share remains low. Kirin targets ¥500bn of health-science sales in 2035, including ¥300bn from Kirin Health Science International; this target comprises ¥200bn of organic growth from existing businesses and ¥100bn of inorganic growth. Management would regard growth from the Jamieson acquisition as inorganic. Goldman Sachs values Kirin at ¥2,550 per share using a sum-of-the-parts approach based on FY12/27E. It applies 7.8x EV/EBITDA to the beverage business and San Miguel Brewery, based on the one-year average FY2E multiple for 10 global beer companies, and 10.5x to health science, based on seven global health-science companies. Kyowa Kirin is valued using the coverage analyst's ¥2,050 12-month target price. The report also cites a likely headwind from Japan's beer-tax changes because Kirin has relatively high exposure to low-malt and new-genre beers, and forecasts a gradual ROE decline from FY12/27.

Analysis framework

Goldman Sachs compares reported second-quarter profit with its own estimate and consensus, identifies segment-level operational drivers, then updates multi-year earnings forecasts for results and foreign-exchange assumptions. It assesses the Jamieson transaction against Kirin's health-science strategy while excluding the deal from forecasts, and derives the target price through a sum-of-the-parts valuation using peer EV/EBITDA multiples and a separately valued listed holding.

Methodology notes

  • Valuation methodsSOTP (Sum-of-the-Parts) Valuation

    Sum-of-the-parts valuation

The target price values Kirin's beverage, health-science, Kyowa Kirin, and San Miguel Brewery components separately, then deducts net debt and minority interests.

  • Valuation methodsEV/EBITDA valuation

    Peer EV/EBITDA multiple valuation

Goldman Sachs applies 7.8x EV/EBITDA to beverage operations and San Miguel Brewery and 10.5x to health science, using one-year average FY2E peer multiples.

Impact & implications

The report sees the earnings beat, guidance increase, and health-science expansion as positive operational and strategic developments, but not sufficient to support the current share price relative to Goldman Sachs' target. Completion of the Jamieson transaction would shift attention toward delivery of North American expansion and acquisition synergies.

Risks

  • Upside risks to the Sell view include higher sales volumes, higher ASP, better overseas business conditions, synergies with investees, and stronger profits in focus businesses.
  • The proposed Jamieson acquisition remains subject to various approvals.

What to watch

  • Whether Kirin can offset the ¥10bn Middle East-related cost impact expected mostly in the second half through cost reductions.
  • Progress toward expected October 2026 commencement of Jamieson share purchases, subject to approvals.
  • Delivery of EPS accretion from FY12/27 and subsequent acquisition synergies.
  • Health-science sales progress toward Kirin's ¥500bn 2035 target.
