Orbital compute is a source of long-term differentiation, but the report does not accept the approximately 100GW-per-year expansion pace implied by the company for the end of this decade. It forecasts only approximately 15GW of additional orbital compute capacity by the end of 2030 and believes the capital intensity of orbital compute will then be only slightly lower than that of terrestrial compute. The conclusion is that orbital data centers may have enormous long-term value, but construction during this decade will be slower and more expensive than widely promoted. Capital expenditures and cash flow are at the heart of the credit analysis. Barclays expects capital expenditures over the next two to three years to be driven primarily by terrestrial compute, with orbital projects accelerating meaningfully only near the end of the decade. The model shows SPCX burning approximately $75 billion of free cash flow annually in 2027–2028; although the burn narrows in 2029–2030, free cash flow remains negative. Specific forecasts are negative $72.816 billion in 2027, negative $73.521 billion in 2028, negative $61.646 billion in 2029, and negative $14.628 billion in 2030. Growth in operating cash flow will continue to be absorbed by capital expenditures through 2029. Cumulative financing needs through 2030 are approximately $180 billion, with the model conservatively assuming that all funding comes from the bond market and excluding chip financing, equity financing, or customer prepayments. The company can manage cash burn through working-capital tools such as extending payables for compute equipment and securing customer prepayments. Equity financing is not entirely ruled out, but the report believes equity is more likely to reenter the financing mix only if capital expenditures significantly exceed forecasts or credit-market capacity forces the company to adjust. The timing of funding needs provides a near-term window for the bonds. The IPO raised $86 billion of primary capital and helped the company broaden its access to the investment-grade debt market. SPCX's true credit constraints are cash flow and ongoing financing rather than debt-service leverage. At the same time, market forecasts for 2030 capital expenditures and EBITDA vary enormously. The standard deviations of both estimates, whether measured in absolute or relative terms, are the highest among S&P 500 companies, indicating a very wide range of potential outcomes for any multiyear forecast. From a relative-value perspective, the report positions SPCX between META and ORCL. Optimistic investors compare it with META, Comcast, and US telecom operators based on similar ratings, related businesses, and low initial leverage. Cautious investors use ORCL and CHTR as anchors because massive free cash flow burn requires debt funding. SPCX's 10-year bond is only 9bp tight of ORCL but 91bp wide of META. Barclays believes the 10-year should serve as the anchor for a spread-compression trade and expects approximately 20bp of tightening through outperformance relative to peers and modest curve steepening. At the long end, it recommends buying SPCX and ORCL 2056s while selling CHTR and META 2056s. SPCX could outperform CHTR over the long term as Starlink erodes cable broadband share, while META faces headwinds from continued bond supply, data-center bonds, and legal liabilities. Although SPCX five-year CDS is at a relatively wide level, the report expects it to remain highly correlated with the share price, as with issuers such as ORCL. Whether CDS can continue to tighten therefore depends on the durability of the equity rebound. The report also analyzes a potential merger between SpaceX and Tesla. Its illustrative scenario assumes an all-stock transaction, excludes synergies and the elimination of intercompany transactions, and assumes Tesla completes the additional $30 billion of borrowing mentioned by management by the end of 2027. Following the merger, estimated 2027 revenue would be $241.287 billion, EBITDA would be $75.176 billion, the EBITDA margin would be 31.2%, and operating cash flow would be $72.174 billion. Tesla would add automotive-business diversification and operating cash flow, but its investments in AI, robotics, solar, and manufacturing would absorb that cash and would not resolve the group's capital intensity or negative free cash flow. Illustrative total leverage would rise from 1.2x for SPCX on a standalone basis to approximately 1.5x, while net leverage would rise from 0.8x to 1.0x, and combined free cash flow burn would also deepen. Barclays therefore assesses the near-term credit impact of a merger as neutral to modestly negative. Over the long term, it could benefit from vertical integration across AI infrastructure, energy, manufacturing, and orbital compute, but the report does not view this as the primary variable determining SPCX spreads; cash burn, the financing mix, future investment-grade bond supply, and capital structure remain more important.
